1. Who we are
Gilston Waste Management Ltd provides waste, cleaning and facilities services across the United Kingdom. “We”, “us” and “our” refer to Gilston Waste Management Ltd. “You” and “your” refer to the customer named in the quote or order.

2. Scope
These terms apply to all quotes, orders, contracts and hires for services and goods supplied by us. Any additional terms you provide apply only if we agree in writing.
3. Definitions
- Services means any waste, cleaning, maintenance, construction support, grounds, IT or support service we provide.
- Goods means items we supply such as skips, containers and consumables.
- Hire means temporary provision of skips, containers or equipment.
- Site means the location where services are delivered.
- Working day means Monday to Friday, excluding public holidays in England and Wales.
4. Quotes and orders
- Quotes are based on information you provide.
- Quotes are valid for 30 days unless stated otherwise.
- A contract forms when you accept our quote or place an order that we confirm.
- If information changes, we may amend the price or plan.
5. Prices and payment
- Prices are in GBP and exclude VAT unless stated otherwise.
- We invoice on completion, on a schedule, or in advance for hire and projects.
- Payment terms are [number] days from the invoice date unless agreed otherwise.
- We may charge interest on late payments under the Late Payment of Commercial Debts Act.
- You pay all third party fees we incur to recover overdue sums.
6. Variations and extras
- Work outside the agreed scope is a variation.
- We will agree the cost of variations before we proceed where possible.
- Waiting time, aborted visits, access delays and extra lifts are chargeable.
7. Your responsibilities
- Provide safe access, permits, keys and any Site rules in advance.
- Tell us about hazards, restrictions and sensitive areas.
- Confirm waste types, volumes and any special handling needs.
- Keep container areas clear and suitable for delivery and collection.
- Supervise works where required and sign completion records.
- Keep to agreed booking windows or notify us of changes as early as possible.
8. Waste acceptance and restrictions
- You are responsible for the waste description.
- We do not accept restricted items unless agreed and routed correctly. Examples include tyres, paints, solvents, clinical waste, asbestos, gas cylinders and WEEE.
- Mixed or mis-described waste may be refused, reclassified or recharged.
- You remain the waste producer. Duty of care applies until we take control.
9. Skips, containers and hire
- The hire period starts on delivery and ends on collection.
- You are responsible for the item while on hire. Keep it secure and undamaged.
- Do not move containers after placement without our written consent.
- Do not overfill. Loads must be safe and level.
- Roadside skips may need a council permit. We can arrange permits on request. Permit fees are chargeable.
- Damage or loss beyond fair wear and tear is chargeable.
10. Service delivery and performance
- We aim to meet agreed dates and windows.
- Delivery may vary due to traffic, weather, access or third party issues.
- We will act to minimise delay and keep you informed.
- We may use vetted subcontractors. We remain responsible for performance.
11. Compliance and records
- We deliver services to current laws and industry guidance.
- We issue duty of care documents, transfer notes, consignment notes and certificates where applicable.
- You must keep records required by law and allow inspections by regulators.
12. Health, safety and environment
- We follow RAMS and Site rules where provided.
- You ensure a safe Site, including traffic and lifting controls.
- We handle and dispose of waste responsibly and aim to maximise recycling.
13. IT, telecoms and data
- For IT and telecoms work you remain responsible for backups unless we provide and manage them under contract.
- We operate change control and keep configuration records.
- Our Privacy Policy explains how we handle personal data.
14. Cancellations and aborted visits
- You can cancel or rebook with at least [24/48] hours’ notice without charge.
- Late cancellation, no access or aborted visits may incur a fee.
15. Defects and service issues
- Tell us about defects within 5 working days.
- We will investigate and put things right within a reasonable time.
- Your remedy for defective services is re-performance or a credit for the affected part.
16. Warranty for goods
- Goods come with the manufacturer’s warranty.
- Misuse, improper installation by others or normal wear is not covered.
17. Liability
- We do not exclude liability for death or personal injury caused by our negligence, for fraud, or where the law does not allow exclusion.
- We are not liable for indirect or consequential loss, loss of profit, business, data or reputation.
- Our total liability in contract, tort or otherwise is limited to the total price paid for the specific job or stage that gives rise to the claim.
18. Force majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including extreme weather, strikes, utilities failure, accidents, fire, flood, terrorism, epidemics or actions of authorities.
19. Termination
- Either party may terminate for material breach that is not fixed within 14 days of written notice.
- We may suspend or terminate if invoices remain unpaid, if access is unsafe, if you breach duty of care, or if performing the contract would be unlawful.
20. Consequences of termination
- You pay for work done, hire charges to the date of collection and any demobilisation costs.
- We will remove our equipment as soon as practicable.
- Confidential information and data must be returned or destroyed on request.
21. Website and portal terms
- You must keep login details secure.
- Do not misuse our sites or attempt unauthorised access.
- Content is provided in good faith. It is not advice unless we state otherwise.
- We may suspend portal access for security, maintenance or misuse.
22. Intellectual property
All plans, reports, photos, method statements and materials we create remain our intellectual property unless you have paid for a transfer that we confirm in writing. You receive a licence to use deliverables for internal purposes related to the contract.
23. Confidentiality
Both parties keep non-public information confidential, except where disclosure is required by law or a regulator.
24. Assignment and subcontracting
You must not assign the contract without our consent. We may assign or subcontract to competent providers and remain responsible.
25. Notices
Serve notices by email to info@gilstonwastemanagement.co.uk and by post to our registered office. Notices take effect on receipt during a working day.
26. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
27. Changes to these terms
We may update these terms to reflect law or service changes. The version in force on the date of your order applies to that order.
